The Platform is owned and operated by K P ENTERPRISES, having its registered office at 10-1 Vinayagar Kovil Street, Swarnapuri, Alagapuram, Salem – 636004, Tamil Nadu, India (hereinafter referred to as "Platform Owner", "we", "us", or "our").
ACCESSING, BROWSING, OR OTHERWISE USING THE PLATFORM INDICATES YOUR AGREEMENT TO ALL THE TERMS AND CONDITIONS UNDER THESE TERMS OF USE. PLEASE READ THE TERMS OF USE CAREFULLY BEFORE PROCEEDING.
By registering for, accessing, or using the HB Terminal platform, website, or any related services, you ("User", "you", or "your") acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions and our Privacy Policy. Your use of the Platform constitutes a legally binding contract with the Platform Owner. If you do not agree to these Terms, you must immediately discontinue use of the Platform.
These Terms can be modified at any time without assigning any reason. It is your responsibility to periodically review these Terms to stay informed of updates. Continued use of the Platform after any modification constitutes your acceptance of the revised Terms.
HB Terminal is a Software-as-a-Service (SaaS) platform that provides algorithmic trading software tools, strategy automation, market data visualization, and related technological utilities. The Platform is a software product only. It is owned and operated by K P Enterprises, an Authorized Sub-Broker of Alice Blue Securities Pvt. Ltd. (SEBI Registered Stockbroker) — Sub-Broker Code: SERD1031.
Users can configure their own trading strategies or work with our team to build and automate a strategy. All strategies are executed through the user's own registered Alice Blue broker account. HB Terminal software does not hold client funds, securities, or execute any order on behalf of users.
IMPORTANT: HB Terminal is a software vendor only. It is NOT a SEBI-registered investment advisor, portfolio manager, or research analyst. Nothing on this Platform constitutes investment advice, financial advice, trading recommendations, or any solicitation to buy or sell any financial instrument. The subscription fee is a software license fee only — not a fee for advisory or financial services.
To use the Platform, you must meet all of the following criteria:
You agree to provide true, accurate, and complete information during and after registration, and you shall be responsible for all acts done through the use of your registered account on the Platform. You are solely responsible for maintaining the confidentiality of your account credentials. You agree to:
Access to the Platform’s features is provided on a subscription basis. All subscription fees are charged upfront and are subject to our Refund & Cancellation Policy. By providing your payment details, you authorise the Platform Owner to charge your chosen payment method for the applicable subscription fee.
Important: All subscription fees paid to HB Terminal are software license fees only. These fees are charged for access to our algorithmic trading software tools. They are NOT fees for investment advice, trading signals, portfolio management, or any financial service. HB Terminal does not earn any commission, brokerage, or fee linked to your trading activity or profits.
You agree to pay us the charges associated with availing the Services. All prices are in Indian Rupees (INR) and are inclusive of applicable taxes (GST) unless stated otherwise. HB Terminal reserves the right to modify subscription prices at any time with prior notice to existing subscribers.
You agree to use the Platform only for lawful purposes. You agree not to use the Platform for any purpose that is unlawful, illegal, or forbidden by these Terms or by any applicable Indian or local laws. The following activities are strictly prohibited:
The contents of the Platform and the Services are proprietary to us and are licensed to us. You will not have any authority to claim any intellectual property rights, title, or interest in its contents. The contents include and are not limited to the design, layout, look, graphics, algorithms, and software. You acknowledge that unauthorised use of the Platform and/or the Services may lead to action against you as per these Terms and/or applicable laws.
Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your personal algorithmic trading activities during your active subscription period.
Algorithmic trading and securities trading involve a substantial risk of financial loss. Your use of the Platform and its Services is solely and entirely at your own risk and discretion, for which we shall not be liable to you in any manner. By using the Platform, you expressly acknowledge that: (a) all trading decisions and their financial consequences are your sole responsibility; (b) past performance of any algorithm does not guarantee future results; (c) you may lose part or all of your invested capital; and (d) HB Terminal bears no responsibility whatsoever for any trading losses you incur.
The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by applicable law, we expressly disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or that any defects will be corrected.
To the maximum extent permitted by applicable Indian law, K P ENTERPRISES, its partners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, trading losses, loss of data, or business interruption arising from your use of the Platform.
You shall indemnify and hold harmless K P ENTERPRISES, its partners, affiliates, officers, and employees from any claim, demand, or action including reasonable legal fees, made by any third party or penalty imposed due to or arising out of your breach of these Terms, Privacy Policy, or your violation of any law, rules, or regulations or the rights of a third party.
Notwithstanding anything contained in these Terms, the parties shall not be liable for any failure to perform an obligation under these Terms if performance is prevented or delayed by a force majeure event, including but not limited to natural disasters, government actions, exchange halts, regulatory orders, or internet infrastructure failures beyond our control.
The Platform may contain links to third-party websites including broker platforms and payment gateways. On accessing these links, you will be governed by the terms of use and privacy policies of such third-party websites. These links are provided for your convenience only. HB Terminal is not responsible for the content or practices of any third-party websites.
K P ENTERPRISES reserves the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms, failure of payment, fraudulent activity, or as required by applicable law. Upon termination, your licence to use the Platform immediately ceases.
These Terms and any dispute or claim relating to them, or their enforceability, shall be governed by and construed in accordance with the laws of India. All disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Salem, Tamil Nadu, India.
