1. NATURE OF HB TERMINAL — SOFTWARE PROVIDER ONLY

HB Terminal is NOT registered with the Securities and Exchange Board of India (SEBI) as an investment advisor, portfolio manager, research analyst, stockbroker, or in any other regulated financial capacity. Nothing on this Platform — including any algorithm, strategy, automation logic, data output, or any communication from HB Terminal — constitutes investment advice, financial advice, a recommendation to buy or sell any security, or any form of regulated financial service.

Your subscription fee paid to HB Terminal is a software license fee only. It is not a fee for investment advice, trading signals, portfolio management, or any financial service.

2. SOFTWARE TOOLS — WHAT WE DO AND DO NOT DO

The HB Terminal Platform provides algorithmic automation software, order management tools, market data visualization, and broker API connectivity. These are technological instruments designed to execute strategies that are configured, enabled, and controlled entirely by the user.

HB Terminal:

• Does NOT hold client funds or securities at any time.
• Does NOT trade on behalf of users or execute orders without the user's own broker credentials being configured in their account.
• Does NOT recommend, endorse, or suggest any specific trade, security, or investment strategy.
• Does NOT provide investment advisory, portfolio management, or research analyst services.
• Is NOT a stockbroker and does NOT place orders directly on any exchange. All orders are routed through the user's own Alice Blue account. K P Enterprises is an Authorized Sub-Broker of Alice Blue Securities Pvt. Ltd. (SEBI Registered Stockbroker). Sub-Broker Code: SERD1031.

All orders are placed exclusively through the user's own registered account with Alice Blue Securities Pvt. Ltd. (SEBI Registered Stockbroker). 3. USER RESPONSIBILITY FOR TRADING DECISIONS

All trading decisions, including the decision to use any particular algorithm, strategy, or configuration on the Platform, are made solely by you. HB Terminal does not and cannot guarantee any particular outcome from the use of its tools.

You are solely responsible for:

• Understanding the nature and risks of every trade or strategy you deploy.
• Monitoring live positions and managing risk at all times.
• Ensuring your trading activities comply with all applicable SEBI regulations, exchange rules, and Indian law.
• All financial consequences, including losses, arising from your use of the Platform.

4. SUBSTANTIAL RISK OF FINANCIAL LOSS

Specific risks associated with algorithmic trading on the Platform include but are not limited to:

• Market Risk: Securities prices can be highly volatile and may move sharply against your positions.
• Leverage Risk: If you use derivatives or leverage, losses may exceed your initial investment.
• Liquidity Risk: Your positions may not be executable at expected prices due to low market liquidity.
• Execution Risk: Slippage, partial fills, or rejected orders may result in unintended outcomes.
• Technology and System Risk: Software bugs, server failures, network outages, or API disruptions may cause unintended trading behavior or prevent timely order execution.
• Broker Risk: Issues with your broker's systems, connectivity, or account status may impact trade execution independent of HB Terminal.
• Regulatory Risk: Changes in SEBI regulations, exchange rules, or government policy may affect the viability of certain strategies.
• Black Swan Events: Extraordinary market events, circuit breakers, trading halts, or force majeure situations can cause unexpected losses beyond the scope of any back-tested strategy.

5. PAST PERFORMANCE DISCLAIMER

Past performance of any algorithm, strategy, or back-test result shown on or through the Platform does not guarantee, predict, or indicate future performance. Back-tested results are hypothetical and may not reflect actual trading outcomes due to market impact, execution costs, slippage, and changing market conditions.

Any reference to historical returns, win rates, or other performance metrics is provided for illustrative purposes only. You should not rely on past performance as a basis for trading decisions.

6. TECHNICAL AND PLATFORM RISKS

HB Terminal strives for high availability but cannot guarantee uninterrupted service. The Platform may experience:

• Scheduled or unscheduled downtime for maintenance or updates.
• Data delays, inaccuracies, or gaps from market data providers or broker APIs.
• Latency issues affecting the timing of order placement or cancellation.
• Software bugs or unexpected behavior in edge-case market conditions.
• Disconnection from broker APIs due to broker-side maintenance or policy changes.

HB Terminal shall not be liable for any trading losses, missed opportunities, or financial consequences arising directly or indirectly from such technical issues.

7. REGULATORY COMPLIANCE

You are solely responsible for ensuring that your trading activities conducted through the Platform comply with all applicable laws, regulations, and rules, including but not limited to:

• SEBI (Securities and Exchange Board of India) regulations.
• NSE, BSE, and MCX exchange rules and trading guidelines.
• Indian Income Tax Act provisions relating to trading income and capital gains.
• Prevention of Money Laundering Act (PMLA), 2002.
• Any other applicable Indian financial laws and regulations.

HB Terminal does not monitor or verify the regulatory compliance of individual users' trading activities and assumes no responsibility for regulatory violations by users.

8. ALGORITHM BACK-TESTING LIMITATIONS

Algorithms and strategies available on the Platform may have been back-tested using historical market data. Back-testing has inherent limitations:

• Historical data may not accurately reflect future market dynamics.
• Back-tests are conducted under idealized conditions and may not account for actual transaction costs, slippage, and liquidity constraints.
• Curve-fitting or over-optimization during back-testing may produce unrealistically positive historical results that do not persist in live trading.

No back-test result presented on the Platform constitutes a representation or warranty of future performance.
